The Swedish property company LjungbergGruppen AB said on Tuesday (17 October) that it has agreed to acquire the entire shareholding of Atrium Fastigheter AB.
The purchase price will be paid in 17.86m B-shares of LjungbergGruppen, in addition to which a dividend of a total of SEK1.6bn will be paid to the shareholders of Atrium Fastigheter.
Following the transaction LjungbergGruppen's current shareholders will represent a total of 45.1% of the share capital and 57.0% of the votes of the combined company. Atrium Fastigheter's main shareholder, consumer association Konsumentforeningen Stockholm, will hold 31.1% of the votes.
The acquisition and subsequent merger of the operations will create one of Sweden's largest property companies with a SEK15bn portfolio of office and commercial properties, and a SEK5bn portfolio of new projects. Rent revenues will exceed SEK1.33bn per year.
One British pound (GBP) is worth approximately 13.70 Swedish kronor (SEK).
